Welcome to Manteau ("Manteau," "we," "our," or "us"). By accessing or using the Manteau platform, website, marketplace, or related services (collectively, the "Platform"), you agree to these Terms & Conditions ("Terms").
1. Manteau is a Marketplace
Manteau is a marketplace that connects independent DJs, artists, and performers ("Talent") with venues, event hosts, and other clients ("Clients").
Manteau is not an employer, agency, talent manager, event producer, venue operator, or party to any performance agreement between Talent and Clients. Manteau's role is limited to facilitating introductions, bookings, payments, and related administrative services.
2. Independent Contractors
All Talent featured on the Platform are independent contractors and are not employees, agents, joint venturers, or representatives of Manteau.
Talent are solely responsible for:
- Their performances and services;
- Compliance with applicable laws and regulations;
- Obtaining permits, licenses, or insurance, if required;
- Paying their own taxes and business expenses; and
- Their conduct at events and interactions with Clients, venues, and third parties.
Manteau does not supervise, direct, or control how Talent perform their services.
3. Vetting Does Not Constitute Endorsement
Manteau may review, screen, or curate Talent for inclusion on the Platform. However, any screening, recommendation, profile verification, or featured status does not guarantee the quality, legality, safety, reliability, or suitability of any Talent or Client.
Clients are responsible for conducting their own due diligence before engaging Talent.
4. Bookings and Payments
Manteau may facilitate booking requests, contracts, invoicing, and payment collection.
Unless otherwise agreed, Manteau retains a commission from completed bookings. Commission rates may be updated from time to time and will be disclosed prior to confirmation of a booking.
All payment disputes relating to event performance, cancellation fees, damages, or service quality remain between the Talent and Client, except to the extent Manteau expressly agrees to assist in resolving such disputes.
5. User Responsibilities
Users agree to:
- Provide accurate information;
- Use the Platform lawfully;
- Respect intellectual property rights;
- Refrain from harassment, discrimination, or unlawful conduct; and
- Comply with venue policies and applicable laws.
Manteau reserves the right to suspend or remove any account that violates these Terms.
6. Data Privacy
Users acknowledge that providing information online carries inherent risks.
To the fullest extent permitted by law:
- Manteau cannot guarantee the security of information transmitted through the internet;
- Manteau is not responsible for unauthorized access, hacking, security breaches, or actions of third parties;
- Users are responsible for safeguarding their passwords and account credentials; and
- Users share information with other users at their own discretion and risk.
Our collection and use of personal information is governed by our Privacy Policy.
7. Limitation of Liability
To the fullest extent permitted by law, Manteau shall not be liable for:
- The conduct, acts, omissions, negligence, or misconduct of Talent, Clients, venues, guests, or third parties;
- Personal injury, property damage, theft, loss, or accidents occurring before, during, or after an event;
- Event cancellations or disruptions;
- Payment disputes between users;
- Content posted by users; or
- Any indirect, incidental, special, consequential, or punitive damages.
Manteau's total liability relating to any claim shall not exceed the amount of commission actually received by Manteau from the booking giving rise to the claim.
8. Indemnification
Users agree to defend, indemnify, and hold harmless Manteau and its owners, employees, contractors, and affiliates from any claims, damages, liabilities, losses, costs, and expenses arising out of:
- Their use of the Platform;
- Their breach of these Terms;
- Their performance of services or attendance at events; or
- Their violation of law or the rights of another person.
9. Intellectual Property
Users retain ownership of content they submit to the Platform, including photos, logos, mixes, videos, and promotional materials.
By submitting content, users grant Manteau a non-exclusive, worldwide, royalty-free license to display, reproduce, and promote such content in connection with operating and marketing the Platform.
10. No Guarantee of Bookings
Inclusion on the Platform does not guarantee any minimum number of bookings, income, engagements, or business opportunities.
Manteau may accept, reject, suspend, or remove Talent profiles at its sole discretion.
11. Termination
Manteau may suspend or terminate access to the Platform at any time for violations of these Terms, business reasons, safety concerns, or reputational concerns.
12. Dispute Resolution
Any dispute relating to these Terms or the Platform shall first be addressed through good-faith negotiations.
If a dispute cannot be resolved informally, it shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and users consent to the jurisdiction of those courts.
13. Changes to These Terms
Manteau may update these Terms from time to time. Continued use of the Platform after updated Terms are posted constitutes acceptance of the revised Terms.
14. Force Majeure & Weather Events
Neither Manteau, Talent, nor Clients shall be liable for delays or failures to perform caused by events beyond their reasonable control, including hurricanes, tropical storms, flooding, severe weather, natural disasters, acts of government, public emergencies, labor disputes, power outages, or other force majeure events.
Notwithstanding the foregoing, if a Client elects to proceed with an event booking and subsequently cancels due to weather or a force majeure event within seventy-two (72) hours of the scheduled performance, the Talent shall remain entitled to receive the full agreed booking fee unless the parties agree otherwise in writing.
Talent who have reserved the date, declined other engagements, traveled to the venue, or otherwise prepared for the performance shall not bear the financial risk of a weather-related cancellation by the Client.
Manteau may facilitate collection of cancellation fees but is not responsible for guaranteeing payment.
15. Professional Conduct; Alcohol and Drug Policy
All users are expected to conduct themselves professionally and safely.
Talent and Clients shall comply with all applicable laws, venue policies, and regulations relating to alcohol, controlled substances, and public safety.
Manteau does not permit:
- Illegal drug use during events;
- Service while impaired by drugs or alcohol;
- Harassment, discrimination, threats, violence, or abusive conduct; or
- Conduct that endangers attendees, staff, or property.
Manteau reserves the right to remove any Talent or Client from the Platform for violations of this policy, without refund or further obligation.
Manteau is not responsible for monitoring or enforcing alcohol or drug-related conduct at events and disclaims all liability arising from such conduct.
16. Chargebacks and Payment Disputes
Clients agree not to initiate chargebacks, payment reversals, or payment disputes for services that have been substantially performed.
Where a Client initiates a chargeback relating to a completed booking, Manteau reserves the right to:
- Contest the chargeback;
- Provide booking records, communications, contracts, invoices, and attendance documentation to payment processors;
- Suspend the Client's account; and
- Recover any amounts, fees, costs, or losses incurred as a result of the chargeback.
A chargeback shall not relieve a Client of its contractual obligation to pay for services rendered.
17. Cancellations, No-Shows, and Late Cancellation Policy
Client Cancellations
Unless otherwise agreed in writing:
- More than 14 days before the event: no cancellation fee.
- 7–14 days before the event: 50% of the booking fee.
- Less than 7 days before the event: 100% of the booking fee.
- Less than 72 hours before the event: 100% of the booking fee.
Client No-Shows
If a Client fails to provide access to the venue, cancels upon the Talent's arrival, materially changes the event such that performance is no longer possible, or otherwise prevents the Talent from performing, the booking shall be treated as completed and the Talent shall be entitled to 100% of the agreed fee.
Talent Cancellations
Talent are expected to honor confirmed bookings. Any Talent who cancels without a legitimate emergency may be subject to:
- Profile suspension;
- Removal from the Platform; and/or
- Responsibility for reasonable replacement costs incurred by the Client.
Talent No-Shows
If a Talent fails to appear for a confirmed booking without prior notice or valid emergency circumstances, Manteau may remove the Talent from the Platform immediately.
18. Dispute Resolution for Bookings
Manteau may, at its sole discretion, assist users in resolving disputes relating to bookings, payments, cancellations, or no-shows.
Any information provided by Manteau during such discussions is for facilitation purposes only and does not constitute a legal determination or admission of liability.
Where a dispute arises, Manteau may review relevant evidence, including:
- Booking confirmations;
- Communications through the Platform;
- Contracts and invoices;
- Venue records; and
- Photographs, videos, or attendance documentation.
Manteau's decision regarding Platform-related remedies, including account suspension or removal, shall be final. However, Manteau is not obligated to adjudicate disputes and is not liable for disagreements between Talent and Clients.
